Job Overview/About Company:

To serve the company as Legal Advisor in Contracts and Procurement, counselling the Company on its legal rights and obligations, identifying legal risks as well as protecting the Company’s interests and benefits while negotiating, executing and performing procurement contracts and other agreements in normal course of the business. When required, to represent, act for and advise the Company in any contractual claims and disputes, including preparing and reviewing all related legal documents and evidences.

 

Key Responsibilities:

  1. Advise company concerning business transactions, contracts, procurements and other agreements in normal course of the business; and ensuring the compliance thereof;
  2. Advise company on potential or actual contractual claims, claim liability, possibilities of prosecuting or defending lawsuits or other proceedings, and legal rights and obligations of the company in respect of contractual claims or disputes.
  3. Prepare, draft and review contracts & agreements, relevant legal documents, legal briefs and opinions, and other documents produced in daily operation.
  4. Negotiate and provide support in negotiation of the terms and conditions of contracts, procurements and other agreements, and settlements of disputes or claim.
  5. Interpret relevant laws, rulings and regulations for individuals and businesses.
  6. Analyze the probable outcomes of transactions and cases and make relevant recommendations for the best benefits of the company.
  7. Identify and discuss any legal risk, findings and recommendations with line managers and/or department manager.
  8. Perform administrative and management functions related to the position.
  9. Update changes in or new regulations and alert to concerned divisions or functions.
  10. Perform other tasks as assigned from time to time in relation to the position.
  11. Accountability:

 Job Requirements:

  1. Qualification
    • Law degree
    • Qualified in Vietnam or in a foreign country
    • Postgraduate degree is an advantage
  2. Educational Level
    • Graduate or above
    • Education in a foreign country with either common law or civil law system is advantage
  3. Work Experience
    • Minimum 8 years of experiences, of which at least 5 years working as a lawyer in an international law-firm(s) or in-house counsel for a multinational company(ies)
    • Strong experiences in EPC contract, oil & gas contracts and other commercial contracts and procurement
    • Strong experiences in corporate matters, intellectual properties, labor and employment, compliance and dispute resolution
    • Experiences in M&A, cross-border transactions, project financing, arbitration and other methods of dispute resolution is advantage
    • Strong experiences in oil and gas industry, especially downstream, or petrochemicals is advantage
  4. Skills
    • Practical and operational-oriented
    • Able to work both independently as a team member under high pressure environment
    • Good communication and presentation skills. Able to deliver the message to various target audience
    • Strong negotiation and organization skills
    • Strong project management skills
    • English skills IELTS 6.0 or TOEFL 550 (preferably above). Fluent in English, both in writing  and communicating
