Responsibilities:
• Conduct thorough evaluations of potential target companies and offer legal guidance on structuring M&A transactions.
• Create and scrutinize various transactional documents like non-disclosure agreements (NDA), memorandums of understanding (MOU), sale and purchase agreements (SPA), and shareholders' agreements (SHA).
• Manage settlement of claims/disputes, engage in pre-litigation negotiations, and facilitate mediation throughout legal proceedings, while overseeing litigation or arbitration processes.
• Address regulatory matters, including governmental filings, licenses, approvals, and company registrations, by coordinating with relevant authorities.
• Ensure timely renewal and compliance of corporate documents such as investment licenses, branch licenses, and share certificates, in alignment with evolving laws and business models.
• Stay abreast of legal developments, draft or interpret new laws and regulations pertaining to corporate, M&A, real estate, and housing sectors.
• Prepare necessary documentation (e.g., deposit contracts, apartment sale and purchase agreements) for the launch of residential projects.
• Advise on sales-related issues and post-sale matters, including the transfer of apartment sale and purchase agreements and addressing customer concerns.
• Negotiate and draft various agreements, including purchase and sale, booking, long-term lease, construction/design/consultancy contracts, and monitor their implementation.
• Participate in meetings with residents and customers to resolve relevant issues, as required.
• Draft and review application materials for updating project company incorporation documents.
• Provide updates and summaries of pertinent changes in laws and regulations affecting the company's operations.
• Assist with document translation and review tasks.
• Support the Manager in overseeing the Legal Team or directly manage the team.
• Fulfill other duties as delegated by the Line Manager.

Qualifications:
• Legal background with a minimum of 10 years' experience in corporate/real estate law, preferably with reputable law firms specializing in the real estate sector or within real estate companies.
• Profound comprehension of real estate projects, foreign direct investments, M&A, corporate transactions, and direct involvement in residential project sales contracts.
• Experience in liaising with authorities and establishing and maintaining relationships with them.
• Strong grasp of Investment Law, Enterprise Law, Real Estate Law, Housing Law, Construction Law, and other relevant regulations.
• Self-driven, reliable, and diligent with excellent research, analytical, and problem-solving skills.
• Ability to thrive both independently and collaboratively in high-pressure environments.
• Proficient in oral and written communication in English; possession of a lawyer-practicing certificate is advantageous.
